Reproduced as published for the Genesis Pass presale. These terms applied to purchases made during the presale. References to live sales, checkout pages and delivery reflect the presale at the time.

These terms and conditions ("Agreement") govern your participation in the Joy Genesis presale, including the Genesis Pass NFT mint ("Presale Deposit") and the full device pre-order ("Pre-Order"), conducted on playonjoy.com, and future delivery of the Joy Genesis handheld device ("Product").

• Important Notice: Dispute resolution through binding arbitration is required, with limited exceptions. You waive your right to a jury trial and class action lawsuits.

BY PLACING A PRESALE DEPOSIT OR PRE-ORDER FOR THE PRODUCT, YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT. PLEASE REVIEW THESE TERMS CAREFULLY.

1. Documentation

To purchase the Product, you must agree to the following documents (collectively, the "Documentation"):

• These Presale Terms and Conditions (effective as of the date you make the purchase).
• Final Product Specifications (to be posted on our website before shipment of the physical device).
• Final Price Confirmation (details about the final amount owed, including shipping, taxes, and additional terms).

2. Purchase Options

2.1 Genesis Pass NFT (Presale Deposit)

The Genesis Pass NFT costs $50 USDC and is minted on-chain via playonjoy.com/pre-book using a supported blockchain network. The Genesis Pass reserves a spot on the preorder list and acts as proof of ownership. When the full pre-order opens, Genesis Pass holders will receive a discount code and the $50 mint is credited towards the final purchase price. The Presale Deposit is non-refundable (subject to Section 7 below). You are not obligated to purchase the final Product.

2.2 Full Device Pre-Order

The full device pre-order is priced between $450–$600 USD (depending on configuration and tier selected) and is processed via our Shopify-powered checkout on playonjoy.com. The pre-order price does not include taxes, shipping fees, or other fees ("Additional Fees"). These fees will be calculated at checkout or closer to the delivery time. You are responsible for paying these fees. Pre-orders are subject to product availability and may be limited.

3. Order Process; Cancellation; Changes

3.1 Genesis Pass: To reserve your spot, mint a Genesis Pass NFT on playonjoy.com using a supported blockchain network (Ethereum, BNB Smart Chain, Somnia, Berachain, or Moonbeam).

3.2 Full Pre-Order: Complete the checkout process on our Shopify-powered store, providing payment information and shipping details. Shopify’s terms of service and payment processing terms apply to these transactions in addition to this Agreement.

At a later date, you may be required to provide additional personal information for fulfilment and updates ("Registration Information").

4. Payment Terms

4.1 Genesis Pass NFT Payment

Connect a compatible digital wallet to our presale page at playonjoy.com/pre-book and use USDC on one of the supported blockchain networks. Joy Tech Global Limited reserves the right to add or remove accepted blockchain networks and payment methods. After connecting your wallet, you will approve a USDC transfer and confirm the mint transaction. Upon confirmation, the amount will be transferred from your wallet to our smart contract and a Genesis Pass Soulbound NFT will be minted to your wallet. We are not liable for losses due to user error (incorrect transactions, mistyped addresses) or malfunctioning programs.

4.2 Full Pre-Order Payment

Full pre-orders are processed through Shopify’s secure payment gateway using accepted payment methods (credit/debit cards and other methods available at checkout). Payment is collected at the time of order. Shopify’s payment terms and refund policies apply to the payment processing. Joy Tech Global Limited’s product-specific terms in this Agreement apply to the Product itself.

5. No Guarantee of Delivery Date; Transfer of Title

We expect the Product to ship in 2026. You will be notified when your Product is ready to ship ("Availability Notice"). You must then promptly provide any outstanding payment for Additional Fees ("Final Payment") and confirm shipping information. You may be unable to receive the Product if you do not respond within 3 months from the "Availability Notice".

Title and risk of loss pass to you upon shipment of the Product. We are not liable for damage or loss during transit.

By placing a Presale Deposit or Pre-Order, you acknowledge that you are preordering the Product without final confirmation of features or options. Delivery dates are estimates only and may change. We are not liable for delays. Your actual delivery date depends on manufacturing, delivery operations, the fulfilment partner, and when you place your order. If we provide an estimated shipment date and later determine the Product cannot ship by that date, you may be entitled to a refund or a new estimated shipment date.

6. Refund

6.1 Genesis Pass Refund: If you have paid the Presale Deposit, provided Registration Information, paid the Final Payment, and provided shipping information, but we have not shipped the Product by December 31, 2027, you will be entitled to a refund of the Presale Deposit minus platform fees. Refunds will be paid in USDC, in the amount equal to the purchase price. Except as specified in this Agreement, your Presale Deposit is non-refundable.

6.2 Full Pre-Order Refund: Pre-orders placed via Shopify may be cancelled and refunded in accordance with Shopify’s refund policies and our store’s refund policy, which will be displayed at checkout. If we have not shipped the Product by December 31, 2027, you will be entitled to a full refund of your pre-order amount. We reserve the right to modify the payment method and terms of any refunds.

7. Blockchain Transactions and Digital Assets

You acknowledge that blockchain transactions are irreversible and that Joy Tech Global Limited has no ability to reverse, cancel, or modify transactions once confirmed on-chain. The Genesis Pass NFT is a Soulbound Token (SBT) and is non-transferable. You are solely responsible for maintaining the security of your wallet and private keys. Joy Tech Global Limited is not responsible for any loss arising from compromised wallet credentials.

8. Privacy Policy

All information you provide will be subject to our Privacy Policy. The fulfilment partner and payment processors (including Shopify) may collect and process your personal and payment information and request you to acknowledge additional terms related to processing such information.

9. Limitation of Liability

To the extent permitted by law, Joy Tech Global Limited are not liable for personal injury, or any incidental, special, indirect or consequential damages arising out of this Agreement or your purchase or ownership of the Product.

10. No Resellers; Cancellation

This Product is for consumers only. We may cancel orders for resale or made in bad faith. There will be no refund for amounts previously paid. You agree to comply with all applicable laws regarding your deposit, payments, and receipt and use of the Product. You represent and warrant that you are purchasing the Product for personal use only, not for resale or export. We may also cancel your order and refund amounts paid if we discontinue the Product or any feature or function after the time you place your preorder.

11. Waiver of Jury Trial

You and Joy Tech Global Limited waive any right to a jury trial. You waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or jury.

12. Waiver of Class and Other Non-Individualised Relief

You and Joy Tech Global Limited agree that each party may bring claims only on an individual basis, not on a class, representative, or collective basis. You waive all rights to have any Dispute brought, heard, administered, resolved, or arbitrated on a class, collective, representative, or mass action basis. Only individual relief is available. Disputes of multiple customers cannot be arbitrated or consolidated. The arbitrator may award declaratory or injunctive relief only in favour of the individual party seeking relief and only to the extent necessary to provide relief warranted by the party's individual claim.

13. Governing Law; Integration; Assignment

All matters arising out of or relating to this Agreement are governed by and construed in accordance with the laws of the British Virgin Islands. Any terms relating to the purchase of your Product not expressly contained herein are not binding. This Agreement is effective as of the date you accept it. By confirming and accepting this Agreement, you agree to the terms and conditions set forth herein.
